Indemnification clause

Also called: indemnity clause, hold harmless

One side agrees to cover the other's losses, legal costs included, if a claim lands. In a brand deal it normally runs both ways: you cover the brand for your own material, your footage and your own claims, and the brand covers you for anything they supplied or asked you to say, including their product claims and their assets.

Watch for a one-way clause where you indemnify the brand and get nothing back, and for uncapped liability with no ceiling tied to the fee. Treating a phrase like hold harmless as boilerplate is how a creator ends up personally exposed over a script line the brand wrote.
