Brand Deals, Sponsorship & Business
Non-disclosure agreement
Also called: NDA, confidentiality agreement
Brands send one before a pitch or a product briefing, and it either binds only you or binds both sides equally, which is worth checking. The parts that matter are what counts as confidential, how long the obligation runs after the work ends, who else you may tell, and the carve-outs for information that was already public.
Read it against your disclosure duties. An NDA that stops you telling viewers a video is sponsored conflicts with advertising law and with YouTube's own rules, so that clause needs changing before you sign. Ask for a cap on the term as well, since perpetual confidentiality over a single product launch is unreasonable.
